Welcome to thotee. These Terms of Service ("Terms") govern your access to and use of the thotee platform, website, and services (collectively, the "Service") operated by thotee LLC ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

3. Account Registration

4. Service Description

thotee provides a link aggregation platform that allows content creators to create customizable landing pages with links to their content, social media profiles, and other online presence. The Service includes:

• Customizable profile pages with link management
• Analytics and performance tracking
• Cross-promotion features
• Team collaboration tools
• Payment processing for premium features and marketplace transactions

5. Payment Terms

Certain features of the Service require payment. By making a purchase, you agree to the following:

5.1 Payment Processing

All payments are processed through Stripe, Inc. ("Stripe"). By making a payment, you agree to Stripe's terms of service and privacy policy. We do not store your complete payment card information on our servers.

5.2 Subscription Services

If you purchase a subscription, you authorize us to charge your payment method on a recurring basis until you cancel. Subscriptions automatically renew unless cancelled before the renewal date.

5.3 Marketplace Transactions

For marketplace transactions (such as paid shoutouts), thotee acts as an intermediary. Payments are held in escrow until services are delivered and confirmed. We may charge a platform fee for facilitating these transactions.

5.4 Payouts

If you receive payments through the Service, you must connect a valid Stripe account. Payouts are subject to Stripe's payout schedule and policies. You are responsible for any taxes owed on income received through the Service.

5.5 Currency

All prices are displayed in US Dollars (USD) unless otherwise specified. Currency conversion rates are determined by Stripe at the time of the transaction.

6. Refund and Cancellation Policy

6.1 Subscription Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. No refunds are provided for partial billing periods.

6.2 Marketplace Refunds

For marketplace transactions, refunds may be issued if the seller fails to deliver the agreed-upon service within the specified timeframe. Disputes must be raised within 7 days of the expected delivery date. We reserve the right to make final decisions on all refund requests.

6.3 Refund Processing

Approved refunds will be processed within 5-10 business days and credited to the original payment method. Refund timing depends on your financial institution.

7. User Conduct and Prohibited Activities

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Post or link to content involving minors in any sexual or exploitative context
• Promote violence, terrorism, or illegal activities
• Engage in fraud, money laundering, or other financial crimes
• Harass, abuse, or threaten other users
• Impersonate any person or entity
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Scrape, crawl, or use automated means to access the Service without permission
• Interfere with or disrupt the Service or its infrastructure
• Circumvent any access controls or usage limits

We reserve the right to remove any content and suspend or terminate accounts that violate these Terms.

8. Content Guidelines

You retain ownership of all content you post or link through the Service. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to display and distribute your content as necessary to provide the Service.

You are solely responsible for ensuring your content complies with all applicable laws and does not infringe on third-party rights. We may remove content that violates these Terms or applicable law.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by thotee LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

10. Third-Party Services

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of third-party sites. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

11. Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account data (subject to legal retention requirements)
• Any pending payouts may be held pending investigation of potential violations
• You remain liable for any outstanding fees or charges

You may terminate your account at any time by contacting us or using the account deletion feature.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee any specific results from use of the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOTEE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless thotee LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against us.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
